We the undersigned, natural persons of the age of 21 years or more, acting as incorporators of a corporation under the Utah Non-Profit Corporation and Cooperative Association Act, hereby adopt the following Articles of Incorporation for such corporation.
ARTICLE I
NAME
The name of the non-profit corporation hereby created shall be:

ARTICLE II
DURATION
The corporation shall continue in existence perpetually unless sooner dissolved according to law.
ARTICLE III
PURPOSES
The purposes for which the corporation (hereinafter sometimes referred to as the "Association") is organized are:
1. To render pecuniary aid to the widows, families, or nominees of deceased members.
2. To render services and extend relief to its members or their families in case of sickness or injury.
3. To aid its members in the performance of their duties an employees of the Sheriff's Office.
4. To receive contributions or donations and to handle, disperse, or distribute the same in accordance with the directions of the contributors or donors for the benefit of the Association, its members, and families.
5. To conduct entertainments, excursions, and social meetings for the benefit of its members.
6. To do such other acts and render such other services as may be determined by the Board of Trustees and as may be consistent with and in furtherance of the purposes of the Association.
7. The Association shall have the right to do and accomplish all things and engage in all other lawful transactions which a non-profit corporation organized under the laws of the State of Utah might do, accomplish, or engage in whether similar to the foregoing or otherwise.
The foregoing enumeration of specific purposes and objects shall not be held to limit or restrict in any manner the objects, purposes, or powers of the Association but shall be in furtherance of and in addition to, and no limitation of, the general powers conferred by the law of the State of Utah, all of which powers this non-profit corporation shall have.
Notwithstanding any statement of purposes or powers aforesaid this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of its specific and primary purposes.
ARTICLE IV
MEMBERSHIP
The Association shall have members and membership shall be open to all full-time employees of the Salt Lake County Sheriff's office sworn or civilian. If a member in good standing should be elected or appointed Sheriff of Salt Lake County, he may continue to enjoy the benefits of the Association as set forth in these Articles and the Bylaws of the Association but shall not enjoy voting privileges on any matter or hold any office as an officer or trustee of the Association until such time that he, may again serve as an employee in the Salt Lake County Sheriff's Office.
The Association may grant honorary memberships as provided in the Bylaws with the rights and privileges of such honorary memberships as set forth in the Bylaws. Honorary members shall have no voting privilege, no death or retirement benefits.
ARTICLE V
OFFICERS
The Association shall have the following officers, elected by secret ballot by the eligible members of the Association in good standing: a president, a vice-president and a secretary-treasurer. The persons designated below in Article VI shall serve as officers of the Association until the first annual meeting of the Association and successors are fully elected by the members of the Association, as provided in the Bylaws.
The Bylaws shall provide the time, place, and manner of conducting the election of officers and trustees not inconsistent with these Articles of Incorporation and shall provide the manner for filling a vacancy.
Each of the officers shall be elected for a term of one year. The president and vice-president may be re-elected for additional terms of one year, not to exceed four successive years in office.
The officers of the Association shall have such authority and perform such duties in the management of the property and affairs of the Association as may be provided in the Bylaws of the Association or as may be determined by resolution of the Board of Trustees not inconsistent with the Articles of Incorporation or the Bylaws.
Officers must not be of grade higher than sergeant at the time of their election, but any officer who shall be promoted to the grade of lieutenant or higher may remain in office for the remainder of his term until the next regular election.
The president, secretary-treasurer, and assistance fund coordinator shall be bonded in the amount to be determined by the Board of Trustees but not less than $1,000.00 to secure the Association the faithful performance of their duties and the handling of the funds and properties of the Association.
ARTICLE VI
GOVERNING BOARD
The affairs of the Association shall be managed by a governing board called the Board of Trustees. There shall be eleven (11) trustees as members of the Board of Trustees as follows:
The president, vice-president and secretary-treasurer of the Association shall be members of the Board of Trustees during their term of office.
Six trustees, whose rank does not exceed that of sergeant, shall be elected by secret ballot for a term of three years. These terms shall be staggered so that two terms will expire and be filled each year. Any trustee so elected must be a member in good standing.
Any such trustee promoted to a rank higher than sergeant shall remain in office for the remainder of his term.
One Trustee, whose rank exceeds that of sergeant, shall be elected by secret ballot for a term of two years. This term shall expire and be filled in even years.
The Sheriff of Salt Lake County shall appoint one member of the association to serve for a one-year term. If for any reason the Sheriff does not make such appointment, the vacancy shall be filled by a majority vote of the Board of Trustees.
Trustees may be elected to successive terms of office, except that the member appointed by the Sheriff may serve for no more than one term without approval by a majority vote of the Board of Trustees.
The immediate past-president of this Association shall be an ex-officio member of the Board of Trustees with voting powers only in the event of a tie vote in the meetings of the board.
The Bylaws shall provide the time, place and manner of conducting elections of trustees not inconsistent with the provisions of these Articles of Incorporation, and shall provide the manner for filling a vacancy on the Board of Trustees.

ARTICLE VII
MEETINGS, FEES, AND DUES
The annual meeting and all regular or special meetings of the Association shall be held as provided by the Bylaws of the Association.
The fees and dues of the Association shall be provided in the Bylaws, provided any increase in dues of the Association must be approved by a two-thirds vote of the membership.
ARTICLE VIII
BYLAWS
Bylaws of the Association shall be prepared by or under the direction of the Board of Trustees and shall be adopted by a majority vote of members present at any annual or special meeting of the Association. The procedure for amendment or repeal of the Bylaws shall be set forth therein.

MUTUAL AID ASSOCIATION
ARTICLE I
OFFICE
The principle office of the Association shall be located at such place in Salt Lake County as the Board of Trustees may determine.
ARTICLE II
EMBLEM AND SEAL
The emblem of this Association shall be a miniature facsimile of the star now used by the Salt Lake County Sheriff's Office and worn by the Deputy Sheriffs, with the words "Salt Lake County Organized September 13, 1965, D.S.M.A.A.S.L.C." inscribed thereon. Emblems shall be obtained only through the Board of Trustees and shall be dispensed by the Board of Trustees only to members and honorary members of this Association.
The Board of Trustees shall provide for a corporate seal to be utilized by the Association in such form, as the Board of Trustees shall determine.
ARTICLE III
MEMBERSHIP
3.1 MEMBERSHIP. Membership in the Association shall be open to all full-time employees of the Salt Lake County Sheriff's Office sworn or civilian. If a member in good standing should be elected or appointed Sheriff of Salt Lake County, he may continue to enjoy the benefits of the Association as set forth in these Bylaws and the Articles of Incorporation of the Association, but shall not enjoy voting privileges on any matter until such time as he may again serve as an employee of the Salt Lake County Sheriff's Office.
3.2 ENROLLMENT PROCEDURE. Persons who are eligible for membership may become members of the Association by making application therefore and filing the same with the secretary-treasurer of the Association and by paying to the secretary-treasurer the dues as provided by the Board of Trustees or by these Bylaws. All applications for membership are subject to approval of the Board of Trustees and all applicants who are determined by the Board of Trustees to meet the requirements of membership shall be approved for membership. The Board of Trustees shall reject any applicant who after investigation by the Board of Trustees and the membership committee is found by the Board of Trustees to be of questionable character or morally unfit to be a member.
3.2 (a) REENROLLEMNT. Persons who are eligible for membership under 3.1 and who have previously been members of the Association may request their previous time in the Association be credited toward their accrued time in the Association by supplying documentation of their previous membership along with their application under 3.2. to the Board of Trustees.
3.3 MEMBERSHIP COMMITTEE. The president shall appoint a Membership Committee to consist of at least three persons. It shall be the duty of this committee to investigate all applicants for membership and make recommendations thereon to the Board of Trustees. The Membership Committee may also recommend to the Board of Trustees for honorary membership. Such recommendation shall be in writing.
3.4 HONORARY MEMBERS. Persons not otherwise qualified for membership in the Association may be extended honorary membership in the Association upon recommendation of the Membership Committee and upon affirmative resolution of the Board of Trustees approved by a majority vote of the members of the Association present at any annual or special meeting of the members of the Association. Honorary members shall have no right to vote, shall have no voice in the business or affairs of the Association, and shall receive no death or retirement benefits.
3.5 MEMBERSHIP RECORDS. The names and addresses of all members shall be duly recorded in the rolls and records of the Association to be maintained by the secretary treasurer for that purpose.
ARTICLE IV
MEETINGS AND ELECTIONS
4.1 ANNUAL MEETING. The annual meeting of the membership of the Association shall be held in March of each year. The nomination of officers and trustees shall be conducted at the annual meeting as hereinafter provided. The annual meeting shall be held at such hour and place in Salt Lake County as the Board of Trustees may designate.
4.2 REGULAR MEETINGS. Regular meetings of the Association shall be held as provided in Article V, paragraph 3. These meetings may be attended by members upon request or by invitation.
4.3 SPECIAL MEETINGS. Special meetings of the Association may be called at such times and places in Salt Lake County and for such purposes as the Board of Trustees or the president may provide.
4.4 QUORUM. A quorum of 15 members shall be required to transact business at any annual or special meeting of the Association.
4.5 NOTICE OF MEETINGS. Notice of the place, day, and hour of any annual or special meeting of the Association, and purposes for which any special meeting is called, shall be delivered not less than ten days before the meeting, either personally or by mail, to each member entitled to vote at such meeting, provided that it shall not be necessary to give personal notice to each member of the Association if notice is posted on all division bulletin boards of the Sheriff's Office at least ten days prior to the meeting. If notice is mailed, it shall be deemed delivered when deposited in the United States Mail addressed to the member at his address as it appears on the records of the Association, with postage prepaid.
4.6 ELECTIONS. Elections of all officers and trustees shall be by secret ballot. Only members in good standing as of the date of any election shall be entitled to vote. A majority vote of all such members shall be necessary to elect any candidate.
4.7 VOTING. The vote of each member entitled to vote on any matter at any meeting of the Association must be personally cast by each member, and voting by proxy or otherwise is not permitted. The Board of Trustees shall determine the manner in which ballots may be cast and counted prior to any election. A committee shall be appointed by the president to distribute and count ballots.
ARTICLE V
BOARD OF TRUSTEES
5.1 GENERAL POWERS. The business and affairs of the Association shall be managed by its Board of Trustees.
5.2 NUMBER, TENURE, AND QUALIFICATIONS. The Board of Trustees shall be constituted as provided in Article IV of the Articles of Incorporation of the Association and shall be elected in the manner prescribed in article IV of these Bylaws. If the election of Trustees is not held for any reason, such election shall be held at the next special meeting of the Association. Each trustee shall hold office until he resigns or has been removed as provided hereinafter.
5.3 REGULAR MEETINGS. A regular meeting of the Board of Trustees shall be held at least once each month at such time and place in Salt Lake County as the Board of Trustees may provide.
5.4 EMERGENCY MEETINGS. Emergency meetings of the Board of Trustees may be called by or at the request of the president or any two trustees. The person or persons authorized to call emergency meetings of the Board of Trustees may fix any place in Salt Lake County as the place for holding any emergency meetings of the Board of Trustees.
5.5 NOTICE. Notice of any emergency meeting of the Board of Trustees shall be given at least two days prior to the meeting and delivered to each trustee or mailed to him at his residence. Any trustee may waive notice of any meeting. The attendance of a trustee at a meeting shall constitute a waiver of notice of such meeting except where a trustee attends a meeting with the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Neither the business to be transacted at, nor the purpose of any regular or emergency meeting of the Board of Trustees need be specified in the notice or waiver of notice of such meeting.
5.6 QUORUM. A majority of the number of trustees fixed by the Articles of Incorporation (not counting the immediate past-president as a member of the Board) shall constitute a quorum for the transaction of business at any meetings of the Board of Trustees, but if less than such a majority is present at a meeting, a majority of the trustees present may adjourn the meeting from time to time without further notice.
5.7 MANNER OF ACTING. The act of the majority of the Trustees present at a meeting at which a quorum is present shall be the act of the Board of Trustees.
5.8 VACANCIES. Any vacancy occurring in the Board of Trustees may be filled by the affirmative vote of the remaining trustees though less than a quorum of the Board of Trustees. A trustee elected to fill a vacancy shall continue in office until the next annual meeting of the Association. At such annual meeting the membership of the Association shall elect a trustee to fill said vacancy for the unexpired term thereof.
5.9 COMPENSATION. No member of the Board of Trustees except the president, secretary-treasurer and assistance fund coordinator shall receive any compensation for his services. The president, secretary-treasurer and assistance fund coordinator shall be compensated as provided in section 6.9 of these Bylaws.
5.10 PRESUMPTION OF ASSENT. A trustee of the Association who is present at a meeting of the Board of Directors at which action on any matter of the Association is taken shall be presumed to have assented to the action taken unless his dissent is entered into the minutes of the meeting and unless he has filed his written dissent to such action with the person acting as the secretary of the meeting before adjournment thereof or forwards such dissent by registered mail to the secretary-treasurer of the Association immediately after the adjournment of the meeting. Such right of dissent shall not apply to a trustee who voted in favor of such action.
5.11 ANNUAL REPORT. The Board of Trustees shall make and present to the members of the Association a full report of their transactions during the course of the preceding year at each annual meeting of the Association. This report shall contain a statement of the condition of the Association, the real and personal property held by the Association, all benefits paid by the Association. And shall be prepared by a C.P.A.
5.12 LEGAL SERVICES. The Board of Trustees shall have power and authority to employ such legal service as may be necessary to represent the Association in any controversy, in collection of debts due the Association, in the handling of investments of the Association, or to render legal advice to the Association or the Board of Trustees. The Board of Trustees shall have the power and authority to employ any other help deemed necessary by the Board of Trustees to carry out the purposes of the Association and to pay the costs of such legal service out of the general funds of the Association not otherwise appropriated.
5.13 Any member of the Board of Trustees may be removed by a two-thirds vote of the members of the Association in good standing who are present at an annual meeting or a special meeting called for the purpose of removing such a member of the Board of Trustees. A member of the Board of Trustees may also be removed as provided in Article VI, Section 6.3 herein.
ARTICLE VI
OFFICERS
6.1 NUMBER. The officers of the Association shall be a president, a vice-president, and a secretary-treasurer, each of whom shall also serve as a member of the Board of Trustees.
6.2 ELECTION AND TERM OF OFFICE. The officers of the Association shall be elected as provided in Article IV of these Bylaws. If the election of officers is not to be held for any reason as therein provided, such election shall be held at the next regular meeting of the Association. Each officer and trustee shall hold office until his successor is duly elected and is qualified or until his death or until he resigns or is removed in the manner hereinafter provided.
6.3 REMOVAL. In case of any irregularity in the performance of the duties imposed by these Bylaws and the Articles of Incorporation upon an officer or trustee of the Association, or in case of the suspension of an officer or trustee for irregularities in his duties or conduct as a deputy sheriff, the Board of Trustees may suspend such officer or trustee and appoint by affirmative vote of the Board of Trustees another member of the Association to fill the place of such officer or trustee until the irregularities have been fully investigated and said officer or trustee is deemed worthy to continue in office. The Board of Trustees at their next regular meeting following such suspension, or at a special meeting called for that purpose, shall cause the matter to be fully investigated. All charges against an officer or trustee shall be in writing and a copy shall be served by the secretary-treasurer upon the officer or trustee accused at least ten days prior to such hearing as the Board of Trustees may direct on such charges. If the charges are found by the Board of Trustees to be true and of sufficient gravity to make inappropriate the continued service of the accused officer or trustee, he shall be removed from office and the vacancy filled by another member of the Association selected by the affirmative vote of the Board of Trustees to serve until the next annual meeting of the Association, and the removed officer or trustee shall be suspended from membership in the Association. If the charges are found to be untrue or not of sufficient gravity to require removal or suspension, the officer or trustee accused shall be reinstated.
6.4 VACANCIES. Vacancy in the office because of death, resignation, removal, disqualification, or otherwise shall be filled by the affirmative vote of the Board of Trustees until the next annual meeting of the Association.
6.5 PRESIDENT. The president shall be the principle executive officer of the Association and subject to the control of the Board of Trustees and shall in general supervise and control all of the business and affairs of the Association. He shall, when present, preside at all meetings of the members of the Association and the Board of Trustees. He shall enforce observance of the Articles of Incorporation and Bylaws of the Association and see that the officers of the Association and members of committees perform their respective duties. He shall sign with the secretary-treasurer or any other proper officer of the Association, thereunto authorized by the Board of Trustees, all checks and contracts or other instruments which the Board of Trustees has authorized to be executed except in cases where the signing and execution thereof shall be expressly delegated by the Board of Trustees or by the Bylaws to some other officer or agent of the Association or shall be required by law to be otherwise signed or executed. The president shall in general perform all duties incident to the office of president and such other duties as may be prescribed by the Board of Trustees from time to time. He shall appoint all committees provided for in these Bylaws or as he may otherwise deem appropriate and necessary for the conduct of the affairs of the Association and he may appoint such sergeants-at-arms to assist the president in maintaining order at meetings of the members and to inspect and announce the result of any voting of the Association.
6.6 VICE-PRESIDENT. In the absence of the president or in the event of his death, inability or refusal to act the vice-president shall perform the duties of the president and when so acting shall have all the powers of and be subject to all the restrictions upon the president and shall perform such other duties as from time to time may be assigned to him by the president or by the Board of Trustees.
6.7 SECRETARY-TREASURER. The secretary-treasurer shall:
(a) attend all meetings of the membership of the Association and of the Board of Trustees and keep minutes of the meetings of the Association and of the Board of Trustees in one or more books provided for that purpose;
(b) see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law;
(c) be the custodian of the Association's records and books and of the seal of the Association and see that all documents, the execution of which on behalf of the Association under its seal is duly authorized;
(d) keep a register of the post office address of each member and shall advise the Board of Trustees and the members of the Association of the death of any member;
(e) collect all dues and assessments, have charge and custody and be responsible for all funds and securities of the Association, receive and give receipts for monies due and payable to the Association from any source whatsoever and collect all dues and assessments and deposit all such monies in the name of the Association in such banks, trust companies, or other depositories as selected in accordance with the provisions of these Bylaws and keep an accurate account of the finances of the Association;
(f) draw and countersign all checks for all monies voted by the Board of Trustees and deliver the same to the president for his signature and disbursement;
(g) when required by the Board of Trustees, make a full report of the financial condition of the Association showing the receipts and disbursements of the Association and the sources and purposes of the same;
(h) be the custodian of all property of the Association except as otherwise provided in the Articles of Incorporation or these Bylaws or by resolution of the Board of Trustees and;
(i) in general perform all of the duties incident to the office of secretary-treasurer and such other duties as from time to time may be assigned by the president or the Board of Trustees.
6.8 COMPENSATION OF OFFICERS. The president, secretary-treasurer, and assistance fund coordinator shall be the only officers to be compensated for services and shall receive the sum of $100.00 per month.
ARTICLE VII
BENEFITS
It is intended that the Association shall provide for its members, death, disability, and retirement benefits and such other insurance and benefits as the Board of Trustees and the membership of the Association shall deem appropriate, but such benefits shall be dependent upon the financial status of the general fund of the Association. All such benefits shall be subject to limitations and requirements as specified by the Board of Trustees at such time as each benefit becomes payable to an individual member of the Association. Except for the benefits as herein provided, no part of the net earnings of the Association shall inure to the benefit of any member of the Association.
7.1 The Board of Trustees shall create a general fund, wherein all dues and investment income shall be deposited. The secretary-treasurer, upon approval of the Board of Trustees, shall deposit, invest, and disburse funds as directed. All funds, not otherwise deposited in the Assistance Fund Account shall belong too the general fund. The following benefits shall be paid out of the general fund upon approval of the Board of Trustees.
(a) Upon the retirement of an active member having completed ten or more years of total service in good standing [who is eligible for a service retirement allowance pursuant to the Public Safety Retirement Act (49-4-401, UCA), the Public Safety Non-Contributory Retirement Act (49-4a-401, UCA), the Public Employees' Retirement Act (49-2-401, UCA), or the Public Employees' Non-Contributory Retirement Act (49-3-401, UCA)], and written notification to the Board of Trustees, the member shall be paid a sum as provided by the following schedule:
10 years to less than 15 years $1000.00
15 years to less than 20 years $1500.00
20 years to less than 25 years $2500.00
25 years to less than 30 years $3500.00
30 or more years $4000.00
Such payment shall be made at the rate of $100.00 per month (without interest), beginning within 30 days of the effective date of retirement until the total sum is paid. All payments will be made to an account established for the member at a financial institution of the SMA choice.
(b) As an alternative payment to (a) the member, by written request received by the Board of Trustees ten (10) days prior to the effective date of the retirement, may opt to be paid a lump sum as provided by the following schedule:
10 years to less than 15 years $800.00
15 years to less than 20 years $1200.00
20 years to less than 25 years $2000.00
25 years to less than 30 years $2800.00
30 or more years $3200.00
Such payment shall be made within thirty (30) days of the effective date of retirement.
(c) Upon the death of an active member in good standing, the member's beneficiary shall be paid $3000.00 or the amount due the member upon retirement if he/she retired, whichever is greater.
(d) Upon the determination by the Utah State Retirement Board of "total disability" pursuant to 49-9-401 or 49-2, UCA, an active member having completed ten or more years total service in good standing or an active member in good standing disabled as the result of physical injury resulting from external force or violence as the result of the performance of duty shall be paid according to schedule (a) of this Article. If the disability is not as a result of physical injury resulting from external force or violence as the result of the performance of duty, an active member in good standing with less than ten (10) years total service will receive $100.00 for each year of total service completed to a maximum of $900.00.
(e) Upon the death of a retired or disabled member any undistributed payment will be paid to the member's beneficiary
(f) Definitions For Purposes of This Article.
(i) Active: A current employee of the Sheriff's Office.
(ii) Member in good standing: A member of the SMA who at the time of the member's retirement, disability, or death has paid all SMA dues in the manner and at the time prescribed by the Articles and Bylaws.
(iii) Retired member: A member who has received a retirement benefit from the SMA.
(iv) Disabled member: A member who has received a disability benefit from the SMA.
(g) Each member shall designate a beneficiary or beneficiaries who shall receive the member's benefit or remainder thereof in the event of the member's death. In the absence of any designation, any benefits provided for in this Article shall be paid to the member's estate.
(h) The benefits provided for in Article VII, section 1 shall apply to all members who die, retire, or become disabled after the effective date of any revision of this article and section, except that no disability or death benefit will be paid for any self-inflicted injury or death occurring within two (2) years of becoming or renewing SMA membership.
(i) A Form 1099 is filed for all benefit distribution. All benefit distributions are a return of member dues, however, all tax liability for benefit distributions shall be the responsibility of the member, not the SMA.
7.2 The Board of Trustees shall create an Assistance Fund and the president, upon the approval of the Board of Trustees, shall appoint, from among the Board of Trustees, an assistance fund coordinator to carry out the duties of soliciting contributions, accounting, and coordinating the requests for assistance from the fund. If the assistance fund coordinator is someone other than the secretary-treasurer, he shall provide the secretary-treasurer an accounting of all transactions to be included with the annual report. The Board of Trustees shall determine the methods of raising funds, direct the disbursement of funds as established herein, and determine what portion of the monthly dues shall be deposited to the Assistance Fund in order to meet member needs. The following benefits shall be paid out of the Assistance Fund upon approval of the Board of Trustees.
(a) Assistance to members and/or their dependents, in good standing, where a tragedy, catastrophe, or other crisis not foreseen or controllable by the member has created the need for assistance.
(b) Assistance to individuals in circumstances similar to those in (a) except that the Board of Trustees shall have to determine that it is in the best interest of the Association to lend assistance and that the funds exist to do so after first meeting the needs of members.
(c) Assistance to various other organizations whose purposes and goals are consistent with those of the Association. These may include, but are not limited to, youth groups, athletic and recreational groups, charitable organizations, and others as determined by the Board of Trustees. All requests for assistance shall be made in writing. The Board of Trustees shall insure that all requests meet the aforementioned criteria prior to approval. It is intended that the Assistance Fund be self-sustaining with all necessary expenses borne by the fund and all financial assistance tempered by the projected or actual income.
7.3 The Board of Trustees at the annual meeting shall establish a policy for emergency expenditures for a one-year period. The secretary-treasurer shall report all expenditures of an emergency nature at the next regularly scheduled board meeting.
(a) The Board of Trustees at the annual meeting shall establish a policy for membership socials and programs for a one-year period.
(b) The Board of Trustees shall review all financial transactions of the Association and may approve such transactions by a majority vote.
ARTICLE VIII
RULES OF ORDER AND BUSINESS
8.1 ORDER OF BUSINESS. The following order of business shall be followed at all meetings of the membership of the Association and at all meetings of the Board of Trustees:
(1) Roll call of members.
(2) Certification by the secretary-treasurer of the total number of members in good standing and entitled to vote at such meeting and the presence of a quorum.
(3) Reading and approval of the minutes of the last previous meeting.
(4) Membership matters including the receipt of new applications, balloting for new members, and suspensions.
(5) Reports of committees.
(6) Unfinished Business.
(7) New Business
(8) Election of Officers and Trustees
(9) Financial Report.
(10) Adjournment.
8.2 RULES OF ORDER. Except as the following specific rules may vary therefrom, Roberts Rules of Order shall govern the conduct of all meetings of the Association.
(1) All motions must receive a second before they can be entertained.
(2) When a motion is duly made and seconded, the presiding officer shall state the motion to the meeting before it can be discussed.
(3) No motion shall be in order while a question is under debate, except to substitute, amend, postpone, or lay on the table. A motion to lay on the table shall preclude all debates.
(4) No member shall be interrupted while speaking, unless called to order, for explanation.
(5) A motion to reconsider shall not be entertained unless moved by a member voting in the majority, this motion must be made at the meeting in which the action is taken, or the next subsequent meeting. The motion to reconsider shall be given in such a manner as to enable the membership of the Association to attend and consider the question.
(6) Any member wishing to speak shall arise, address the chair and confine his remarks to the subject under debate. No member shall be allowed to speak for more than three minutes at one time.
(7) Any member called to order shall take his seat until the point of order is decided by the presiding officer, when he may again proceed.
(8) No member Shall be allowed to use discourteous language toward any member in debate.
(9) If two or more members rise to speak at the same time, the chair shall decide which has a right to the floor.
(10) When an adjournment is had, the members must remain seated until the presiding officer shall announce the same.
(11) Any member being dissatisfied with the rulings of the chair may appeal to the members, and a majority vote shall decide the question.
(12) The question of appeal shall be taken without debate, except by the member taking the appeal, who may briefly state his reason for taking the appeal, and the chairman, who shall have a like privilege, to state the grounds of his decision.
(13) When the chair shall order the door especially guarded, no member shall be allowed to depart without permission of the chair.
ARTICLE IX
MEMBERSHIP FEES AND DUES
9.1 DUES Members of the Association shall pay dues of $15.00 per month payable through the payroll deduction plan. Any increase in the dues of the Association shall be approved by a two-thirds majority vote of the membership present at any annual or special meeting called for that purpose. Honorary members shall pay no dues or assessments and shall receive no pecuniary benefits from the Association.
ARTICLE X
AMENDMENT OF BYLAWS
10.1 These Bylaws may be altered, amended, or repealed and new Bylaws may be adopted by a majority vote of the membership present at any annual or special meeting called for that purpose except that any increase in the dues of the Association must be adopted as provided in Article IX. Any proposal for altering, amending, repealing, or providing for new Bylaws shall have first been presented to the membership at least thirty (30) days before the meeting in which the matter is voted upon by the membership. This may be accomplished by either written notification or by conspicuously posting on all Sheriff's Office division bulletin boards.
ARTICLE XI
WAIVER OF NOTICE
11.1 Whenever any notice is required to be given to any member or trustee of the Association under the provisions of these Bylaws or under the provisions of the Articles of Incorporation or under the provision of the statutes of the State of Utah, a waiver thereof in writing signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice.
